Success POS — General Terms and Conditions of Sale
The terms on which Success POS is sold, for businesses ordering online.
Success POS — General Terms and Conditions of Sale
This version incorporates: Success POS — Data Processing Terms (2026-08-29.3).
These General Terms and Conditions of Sale (the “Terms”) govern every order for Success POS placed with Success Payment S.A.. They are addressed to businesses and professionals. Success POS is not sold to consumers.
1. Contracting party
The contract is concluded with:
Success Payment S.A., 40D Rue de Clairefontaine, L-8460 Eischen, Luxembourg, registered with the Luxembourg Trade and Companies Register under number B299168, VAT number LU36855607 (“Success Payment”, “we”, “us”).
Contact for any question relating to an order: contact@success-payment.com. Our full statutory identification is published in our Legal Notice, which also states our regulatory status.
The other party is the business placing the order (the “Customer”, “you”), acting for the purposes of its trade, business or profession.
2. Scope
These Terms govern the subscription to, licensing of, and supply of the Success Payment products and services you order through our website or that are incorporated into an order by reference — in particular Success POS and its features, including payment at the table; Kitchen Display, its licences and its additional screen licences; and the equipment we rent to you, including Kitchen Display screens, printers, CPads and other rented hardware — together with the associated support services. They apply to the whole of the commercial relationship arising from that order.
Each product is subscribed to separately. A Success POS plan does not include a Kitchen Display plan, and a Kitchen Display plan does not include Success POS. Payment at the table is a feature of Success POS and is not a separately charged product.
Our products are intended for professional hospitality businesses — restaurants, bars, hotels and comparable operations. At the date of this version they are offered in Luxembourg only. Availability in any other market requires our prior written agreement.
Your own general terms of purchase do not apply, even if they are communicated to us, unless we have accepted them in writing.
3. Formation of the contract
You configure your Success POS setup on our website: you enter your business and contact details, choose a software plan, choose the hardware you need, and indicate how you intend to handle card payments.
Before any payment is taken you are shown a review step summarising the whole of your configuration and the monthly amount, excluding and including VAT. You can go back and change any part of it.
At that review step you must actively confirm that you have read and accept these Terms. The confirmation box is not pre-ticked and the order cannot be placed without it. The version of the Terms you accept, the exact wording you accepted, the moment of acceptance and the language in which they were presented are recorded with your order.
You are then directed to our payment provider’s secure page to enter your card details. The contract is formed when your first payment is successfully collected and we confirm the order electronically. Until then, your configuration is an offer that we may decline, in particular where your details cannot be verified or where the configuration cannot be delivered.
We send the order confirmation by email to the address you gave. It states your configuration, the price, the applicable initial term and the version of these Terms you accepted, and it gives you a durable copy of that version.
4. Products and services
Depending on the configuration recorded in your order, the contract may cover:
- the Success POS software, provided as a hosted service and used on the point-of-sale devices covered by your subscription;
- point-of-sale hardware, such as the Starter Kit and additional stations;
- printers for the kitchen, the bar or the counter;
- Success Payment payment terminals and payment services, where you and we agree them separately;
- the use of an external payment provider of your choice, where your order records that option and the associated platform fee;
- delivery, installation and onboarding in Luxembourg;
- support, at the level included in the plan shown on your order;
- integrations with third-party systems, where they are offered and enabled for you.
Success POS is a connected product. Its functionality depends on a suitable and available internet connection, on compatible equipment and network conditions at your premises, and on third-party services outside our control. We describe what the software does; we do not warrant that it will operate on an environment that does not meet those conditions.
The functional scope of each plan is the scope published on the Success POS page and reflected in your order. Features may be added or improved over time; we do not remove a feature that is material to the plan you bought without offering you a remedy under clause 20.
5. Licence to use the software
For as long as your subscription is active and paid, we grant you a limited, non-exclusive, non-transferable and non-sublicensable right to use the Success POS software for the internal business purposes of the venue or venues identified in your order, on the number of stations covered by your subscription.
The software is licensed, not sold. You acquire no ownership in it. Except to the extent that mandatory law expressly permits it, you may not:
- copy, reproduce or distribute the software or any part of it;
- decompile, disassemble or reverse engineer it, or attempt to derive its source code;
- sell, rent, lend, resell or otherwise make it available to a third party without our prior written authorisation;
- use it beyond the number of venues or stations covered by your subscription;
- circumvent or attempt to circumvent any access control, licence check or security measure;
- use it unlawfully, or in a way that damages the service or other customers.
The licence ends automatically when the subscription ends, for whatever reason.
6. Prices, invoicing and payment
The order confirmation is the commercial source of truth. The prices that apply to you are the prices shown for your selected configuration at the review step and repeated in your order confirmation. These Terms do not restate them, so that they can never disagree with what you actually bought.
Prices are quoted in euro and exclusive of VAT. VAT and any other applicable duty or tax is added at the rate in force at the time of invoicing. If you provide a valid VAT identification number, the treatment applicable to that number applies.
Recurring charges are billed monthly in advance, from the date the subscription starts. Any one-off charge shown on your order is billed as stated on that order. Payment is collected automatically by our payment provider from the payment method you register at checkout, on each due date, without further notice.
Card payment and subscription billing are operated for us by Stripe. Your card details are entered on Stripe’s own secure page and are not collected or stored by us. You are responsible for keeping a valid payment method registered for as long as the contract is in force.
If a payment fails, the payment provider retries it in accordance with its normal schedule and we may ask you to settle by another means. Sums remaining unpaid after their due date bear interest as of right, without prior notice, at the rate applicable to commercial transactions under Luxembourg law, together with the fixed compensation for recovery costs provided for by that law. Persistent non-payment may lead to suspension under clause 19 and to termination under clause 8.
Invoices are made available electronically. You are deemed to accept an invoice unless you dispute it in writing, with reasons, within thirty (30) days of its date. A dispute over one line does not entitle you to withhold the undisputed balance.
Price changes
We may change our prices for future subscription periods. We will give you at least two (2) months’ notice in writing before a change takes effect. If you do not accept the new price, you may terminate the affected service, without charge and without notice period, with effect from the date the new price would take effect, by writing to us before that date. A change that only reflects a change in VAT or another tax imposed on us takes effect without that right.
7. Duration
The initial term that applies to you is the one shown on your order and repeated in your order confirmation. An individually negotiated agreement may set a different term.
For an order placed through the website in the standard configuration, the contract is concluded for a firm initial term of thirty-six (36) months from delivery or from the date the service is made available. That term applies to the Success POS software subscription, to rented Success POS hardware, to the Kitchen Display subscription including additional screen licences, and to rented Kitchen Display screens.
At the end of that initial period, the contract is tacitly renewed for successive periods of twelve (12) months, unless terminated by either party giving at least three (3) months’ notice before the end of the current contractual period.
Notice is assessed against the period in progress: during the initial term, it must reach us at the latest three (3) months before the end of the thirty-sixth month; during a renewal period, at the latest three (3) months before the end of that period. Failing that, the contract is renewed for twelve (12) months.
The billing frequency changes neither the initial term, nor the renewal periods, nor the notice period. Whether you are invoiced monthly or annually, the commitment remains thirty-six (36) months, the renewal twelve (12) months and the notice three (3) months. Monthly invoicing confers no right of monthly termination.
Termination is notified in writing in accordance with the clause on notices.
Payment terminals, transaction pricing and payment services are not subject to this clause. They are agreed separately — see clause 10.
8. Termination
Ordinary termination
Either party may terminate a service by giving the notice set out in clause 7, in writing, to the other party. Written notice from you should be sent to contact@success-payment.com from the contact address recorded on your order, or by registered letter to our registered office. Termination takes effect at the end of the notice period; the service and the invoicing continue normally until then.
Early termination of rented hardware
If you end the rental of hardware before the end of its initial twelve (12) month term other than for our breach, you owe the monthly rental instalments remaining until the end of that term, up to a maximum of six (6) months. That sum is compensation for the equipment already deployed for you and is not a penalty for the exercise of a right.
Termination for breach
Either party may terminate the contract with immediate effect, by written notice, if the other party commits a material breach and does not remedy it within thirty (30) days of a written demand identifying the breach, or if the other party becomes insolvent, is placed in liquidation or ceases to carry on business. Persistent non-payment is a material breach.
Consequences of termination
On the effective date of termination:
- the licence granted under clause 5 ends and access to the software is deactivated;
- all sums invoiced or accrued up to that date, including any sum due under the early-termination provision above, become immediately payable;
- rented hardware must be returned in accordance with clause 9;
- we make your business data available for export for a period of thirty (30) days from the effective date, after which it may be deleted in accordance with our retention rules and applicable law.
Sums already invoiced for a period that has begun are not refunded on a pro rata basis, except where the contract is terminated for our breach.
9. Hardware
Hardware supplied under an order is either rented as part of your subscription or purchased by you. Which of the two applies to a given item is stated on your order. Hardware ordered through the website configurator, including Kitchen Display screens, is rented; it is charged monthly and is not sold. Purchase of hardware, including Kitchen Display screens, is available on request and is quoted individually, because the price depends on the configuration requested.
Delivery and initial condition
We deliver and install in Luxembourg. Delivery dates are agreed with you after the order and are given in good faith; they are not of the essence unless we have confirmed a firm date in writing. You must give us safe and timely access to the premises and to a suitable power and network environment.
On delivery we record the model, the serial number and the apparent condition of each item, and you receive a copy. Failing written reservations from you within five (5) working days, the equipment is deemed delivered complete and in good apparent condition.
Ownership of rented hardware
Rented hardware remains our exclusive property throughout the contract and after it ends, save express written agreement to the contrary. The rent paid is in no case payment of a purchase price and transfers no ownership, neither at the end of the initial term nor later. No purchase option is granted.
You may not sell, pledge, give as security, sub-let, lend, assign or encumber the rented hardware, nor move it to premises other than those recorded on your order, without our prior written agreement. You must not remove or obscure any identification mark, serial number or seal. You must inform us without delay of any seizure or third-party claim affecting the equipment and take, at your cost, the steps needed to assert our title.
Custody and use
Risk in rented hardware passes to you on delivery and until it is actually returned. You must keep it with the care of a prudent operator; use it in accordance with its professional purpose and our instructions; protect it against avoidable damage, in particular impacts, falls and liquid splashes; use only the power supplies, accessories and cleaning products we indicate; carry out no opening, modification, repair or firmware intervention yourself or through an unauthorised third party; keep it insured against the usual risks, including loss, theft and accidental damage; inform us without delay of any loss, theft, damage or fault; and allow us access for diagnosis, maintenance or recovery.
Normal wear and tear
You bear no cost for normal wear and tear. Normal wear and tear means the gradual deterioration resulting from use in accordance with the purpose of the equipment, the ageing of components, the loss of battery capacity through use, and the wear of surfaces, keys and connectors from ordinary professional use.
A fault in the equipment that is not attributable to you — in particular a manufacturing defect, a failure occurring under normal conditions of use, an installation error on our part, or work carried out by us — is repaired or replaced at no cost to you, including replacement of the device.
Damage attributable to you
In accordance with article 1732 of the Civil Code, you are liable for deterioration and loss occurring during the rental, unless you prove that it occurred without fault on your part.
Are in particular at your cost, without this list being exhaustive, damage resulting from a fall or an impact; a broken or cracked screen; ingress, immersion or splashing of liquid; the use of unsuitable cleaning products; use not in accordance with the purpose of the equipment or with our instructions; negligence in safekeeping; improper handling or handling contrary to the operating instructions; opening, dismantling, modification or unauthorised repair; an unsuitable power supply or accessories; or a deliberate act.
You are liable on the same terms for the acts of your staff, agents, subcontractors and any person to whom you give access to the equipment.
Repair and replacement
Where the damage is attributable to you and the equipment can be repaired on economically reasonable terms, we arrange the repair and invoice you the actual and reasonable cost, comprising as the case may be diagnosis, parts, labour, transport and, where applicable, the manufacturer’s repair charge or an on-site intervention. We give you a prior estimate and invoice only costs actually incurred or contractually established. No lump-sum penalty is applied under this clause.
Where the equipment is destroyed, lost, not returned, or where repair is not economically reasonable, we replace it and invoice you its reasonable replacement value assessed at the date of the damage, the loss or the need for replacement. That value takes account, so far as relevant, of the age of the equipment, its condition immediately before the event, normal wear and tear, normal depreciation, the reasonable cost of obtaining equivalent or comparable replacement equipment at that date, and the availability of an equivalent model. It corresponds neither to the price of new equipment where the equipment was not new, nor to a punitive amount, and it is notified to you with its basis of calculation before invoicing.
Repair and replacement costs are not covered by the monthly rent, which pays only for making the equipment available. They are the subject of a separate invoice, payable on the payment terms set out in the clause on prices, invoicing and payment.
Availability during repair
Where the equipment is unavailable because of damage attributable to you, the rent remains due during the repair or replacement period. Where the unavailability results from a fault not attributable to you, the rent is suspended from your report until working equipment is made available again. If we provide temporary replacement equipment, it is subject to the same obligations of custody and return, no additional rent is due for it, and the replaced equipment must be returned to us within fifteen (15) days.
Loss and theft
In the event of loss or theft you must inform us without delay, report the theft to the authorities and send us the receipt, and cooperate with blocking, revocation of access and remote deactivation.
The replacement value is at your cost, except where the theft results from a burglary or a robbery and you took the reasonable protective measures expected of a prudent operator; in that case the matter is dealt with under your insurance policy and we agree with you how any balance is treated. Loss, unexplained disappearance, failure to secure the equipment, negligence and failure to return remain at your cost.
Your insurance obligation and your contractual obligation to pay are separate matters. We do not warrant that your insurer will indemnify you.
Return
At the end of the contract, on replacement, on termination or on an equipment swap, you must return the rented hardware complete, with its accessories, power supplies and mounts, in good working order subject to normal wear and tear, within fifteen (15) days of the effective date and in accordance with the return instructions we give you.
Failing return within that period, we send you a reminder setting a further period of fifteen (15) days. The rent remains due until actual return or, at the latest, until the replacement value is invoiced. On expiry of the further period the equipment is invoiced at its replacement value as defined above, and the rent ceases to be due for that equipment.
Establishing the cause of damage
Where damage is found, we carry out a diagnosis and tell you the cause established, together with the objective evidence available — findings, photographs, workshop or manufacturer report. If you dispute the cause established, you send us your observations and any contrary evidence within fifteen (15) days. The parties examine that evidence in good faith. Failing agreement, and where the amount at stake justifies it, either party may seek the opinion of an independent technician, whose cost is borne by the party whose position is not upheld.
Purchased hardware
Where an order records a purchase, ownership passes to you when the price of that item has been paid in full; risk passes on delivery. Purchased hardware carries the manufacturer’s warranty and the guarantees that mandatory law gives a professional buyer. It is not returned at the end of the subscription.
9bis. Kitchen Display
Kitchen Display is a separate product, subscribed to separately, which works with Success POS Pro. Kitchen Display licences differ only in the number of screens they cover; the full set of features is available on every licence. The licence and the number of licensed screens are those recorded on your order. Kitchen Display screens are rented and are governed by clause 9.
Food information and allergens
Kitchen Display may display the allergen, intolerance, dietary and preference information that you enter or that your point-of-sale system transmits, and may require your staff to confirm it before a dish is marked as ready. These features are an aid to organising work in the kitchen. They are neither a verification, nor a validation, nor a warranty of the accuracy of the data you provide.
You remain solely responsible for: the accuracy and updating of ingredient and allergen information; the preparation of dishes; the control of cross-contamination; your staff procedures and training; and compliance with the applicable rules on food information and food safety, in particular Regulation (EU) No 1169/2011.
Availability
Kitchen Display depends on your network and your equipment being available. Where they are not, you must maintain a fallback procedure allowing order information to reach the kitchen. We do not warrant uninterrupted operation; clause 12 applies.
10. Payment terminals and payment services
Choosing Success Payment at the payments step of the configurator records a preference. It is not, in itself, an agreement for payment terminals, transaction pricing or payment services, and nothing in your Success POS order should be read as one.
Where Success Payment terminals or payment services are supplied to you, they are governed by a separate agreement between us, and by the conditions of the acquirers, payment institutions and card schemes involved. Those conditions prevail over these Terms on anything concerning the acceptance, authorisation, clearing or settlement of a payment.
The presence of a payment terminal does not guarantee that any given transaction will be accepted. Authorisation is decided by the card issuer, the scheme and the acquirer, and may be refused for reasons outside our control. Regulatory obligations, scheme rules and provider requirements — including verification of your business — apply to you directly and may condition or interrupt the service.
If your order records that you will use an external payment provider, the platform fee shown for that option applies for as long as that configuration is in force, and the relationship with that provider is yours alone. We are not a party to it and we do not warrant its behaviour, its pricing or its availability.
11. Third-party services and integrations
Success POS may be connected to third-party systems, such as a property management system, a payment provider, another point-of-sale or back-office system, or a service you subscribe to yourself. Those systems are operated by their own suppliers under their own terms.
We build and maintain the connection on our side. We cannot guarantee the availability, the continuity, the performance or the future compatibility of a third-party system, and a change made by its supplier may interrupt or end an integration. Where that happens we will tell you and look for a reasonable alternative, but it is not a breach of these Terms on our part.
You are responsible for holding the licences, subscriptions and authorisations required for any third-party system you ask us to connect to, and for the accuracy of the data it sends us.
12. Availability, maintenance and updates
We operate Success POS with the care to be expected of a professional supplier and we work to keep it available during your opening hours. We do not commit to a specific level of availability unless a service level has been agreed with you in writing.
We may maintain, update, patch, improve and modify the service, and we may do so without prior notice where a change is minor or where it is needed to preserve security or stability. Planned work that we expect to interrupt the service is scheduled outside normal service hours wherever we reasonably can, and we give you advance notice.
Unplanned interruptions can occur. We work to restore service as quickly as reasonably possible and keep you informed.
This clause allows us to change how the service works. It does not allow us to remove, without remedy, a functionality that is material to the plan you bought: if we do, clause 20 applies and you may terminate the affected service.
13. Your obligations
You undertake to:
- give us accurate and complete account, company and contact information, and keep it up to date;
- keep your credentials confidential, not share them, and tell us without delay if you suspect they have been compromised;
- control which of your staff has access to which functions, and withdraw access when someone leaves;
- provide and maintain a suitable internet connection, electrical supply and network environment at your premises;
- use the software and the hardware lawfully and in accordance with our instructions;
- keep the equipment safe and in good condition, as set out in clause 9;
- comply with the laws applicable to your business, including tax, accounting, employment and data protection obligations, and remain responsible for the content you record in the system;
- report any fault, incident or anomaly to us promptly, so that we can act on it.
14. Support
Support is included at the level attached to the plan shown on your order. The channels and the hours applicable to each plan are those published on the Success POS page and repeated in your order confirmation; they are not restated here so that the two can never disagree.
We do not charge for support relating to an outage of Success POS, a failure of our cloud service, a defect in our software, a fault in rented hardware including its replacement, a billing or account question, or anything answered directly from our documentation.
Work outside that scope — for example a change you ask us to make to your configuration, an intervention made necessary by a third-party system or by your own network, or an on-site visit not included in your plan — may be quoted and invoiced separately. We tell you before we do the work.
15. Personal data
Each party complies with the data protection law applicable to it, including Regulation (EU) 2016/679.
For the personal data we process about you and your contacts in order to enter into and perform this contract — and for the personal data collected through our website — we act as controller. What we process, why, and the rights you can exercise are described in our Datenschutzerklärung. These Terms do not replace it.
For the personal data that you record in Success POS in the course of running your business — your own customers, your staff — you are the controller and we act as processor on your instructions. That processing is governed by our Success POS Data Processing Terms, version 2026-08-29.3, which are incorporated into this contract by this reference and form part of it. They set out the subject matter, the duration, the nature and purpose, the categories of personal data and data subjects, the security measures, the sub-processors, the international transfer position, our assistance obligations, breach notification, audit rights and what happens to your data at the end of the contract.
Accepting these Terms means accepting that version of the Data Processing Terms. On the processing they cover, they prevail over this clause; on duration, charges, termination and liability, these Terms prevail. A newer version of the Data Processing Terms does not change the version that applies to your order — that version is recorded with your order and stays available.
For any question concerning personal data under this contract, write to dpo@success-payment.com.
16. Intellectual property
We own, or hold the rights to, the Success POS software, its interfaces, its documentation, the underlying technology, and the Success Payment and Success POS names and marks. Nothing in this contract transfers any of those rights to you: you receive the licence described in clause 5 and nothing more.
You keep all rights in your own business content — your menus, your prices, your customer and transaction data, your brand. You grant us only the right to host and process that content to the extent necessary to provide the service, and to produce anonymous, aggregated statistics that do not identify you, your staff or your customers.
If you send us a suggestion or an improvement idea, we may use it freely, without obligation and without payment.
17. Liability
We are liable for the proper performance of our obligations under this contract, in accordance with Luxembourg law. The limits below apply between professionals and to the extent permitted by law.
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, including loss of profit, loss of turnover, loss of anticipated savings, loss of business or reputation, or loss or corruption of data that a reasonable backup would have avoided.
To the extent permitted by law, our total aggregate liability arising out of or in connection with this contract, whatever the cause of action, is limited, per period of twelve (12) consecutive months, to the total amounts you have paid us for the affected service during the twelve (12) months preceding the event giving rise to the liability.
Nothing in this contract excludes or limits liability that cannot be excluded or limited by law. That includes liability for fraud, for wilful misconduct, for gross negligence, for death or personal injury caused by negligence, and any other liability that mandatory Luxembourg law does not permit us to exclude.
We are not liable for a failure caused by a third-party system, by your network or power environment, by your own use of the service contrary to our instructions, or by a decision of an acquirer, payment institution or card scheme.
Any claim under this contract must be brought within twelve (12) months of the day on which you became aware, or ought reasonably to have become aware, of the facts giving rise to it.
18. Force majeure
Neither party is liable for a delay in performing, or a failure to perform, an obligation caused by an event beyond its reasonable control, which it could not reasonably have foreseen or avoided. Such events include natural disaster, fire, flood, war, civil unrest, terrorism, epidemic, a general failure of electricity or telecommunications networks, a large-scale failure of a hosting or connectivity provider, a cyber-attack against infrastructure outside the affected party’s control, an act of a public authority, and a strike or industrial action other than one limited to the affected party’s own staff.
The affected party informs the other without delay, and both parties do what they reasonably can to limit the effects. Obligations are suspended for the duration of the event. If it lasts more than sixty (60) days, either party may terminate the affected service by written notice, without compensation on either side.
Force majeure does not excuse an obligation to pay a sum that was already due before the event.
19. Suspension
We may suspend all or part of the service, temporarily, where it is reasonably necessary because of:
- a serious security risk to the service, to your data or to other customers;
- use of the service that is unlawful, or that damages the service or a third party;
- a material breach of these Terms that you have not remedied;
- persistent non-payment;
- an obligation imposed on us by law or by a competent authority.
Suspension is proportionate: we suspend no more than is necessary and for no longer than is necessary. Except where an immediate suspension is required to contain a security risk or to comply with a legal obligation, we give you prior notice and, where the cause can be remedied, a reasonable opportunity to remedy it. We restore the service as soon as the cause has ended.
Suspension for a cause attributable to you does not suspend your payment obligations.
20. Changes to these Terms
These Terms are published in versions. Every version carries a version identifier and an effective date, and every order records the version that was accepted, together with the exact wording, the moment of acceptance and the language. A published version is never modified. A new version does not alter the version that governs an existing order and does not alter the record of what you accepted; both remain retrievable.
We may publish a new version for future orders at any time. A new version applies to an existing subscription only where we notify you of it at least two (2) months before it is to take effect, and it then applies from that date unless you object.
Where a change materially and adversely affects your rights or the service you bought, you may terminate the affected service, without charge and without notice period, with effect from the date the change would take effect, by writing to us before that date. Changes required by a change in the law, or that do not affect your rights or the substance of the service, take effect without that right.
21. Governing law and jurisdiction
This contract is governed by the law of the Grand Duchy of Luxembourg, to the exclusion of its conflict-of-law rules and of the United Nations Convention on Contracts for the International Sale of Goods.
The parties will first try to resolve any dispute amicably. Failing an amicable settlement, the courts of the Grand Duchy of Luxembourg have exclusive jurisdiction, subject to any mandatory rule of jurisdiction that applies notwithstanding this clause.
22. General
Order of precedence
Where documents conflict, the following order applies, from the strongest to the weakest:
- an agreement or order form signed individually by both parties;
- the order confirmation and the commercial configuration it records;
- these Terms, in the version accepted for that order;
- any other policy or document referred to in them.
The separate agreements covering payment terminals, payment services and data processing prevail over these Terms on the subjects they cover, as stated in clauses 10 and 15.
Entire agreement
The documents listed above form the whole of the agreement between us on their subject matter and replace any prior discussion or proposal about it. This does not exclude liability for a fraudulent statement.
Severability
If a provision is held invalid or unenforceable, it is replaced by a valid provision that comes as close as possible to its economic intent, and the remainder of the contract stays in force.
Assignment
You may not assign or transfer this contract without our prior written agreement. We may assign it to an affiliate or in connection with a transfer of the business to which it relates, provided your rights are not reduced.
Notices
Notices are given in writing, by email to the contact address recorded on the order and to contact@success-payment.com, or by registered letter to the registered office of the receiving party. Notices given by email are effective on the day they are sent, unless a delivery failure is received.
Waiver
The fact that a party does not enforce a provision on one occasion does not waive its right to enforce it later.
References
We will not name you or use your marks as a commercial reference without your prior written agreement.
23. Order of precedence
In the event of a discrepancy, the following order applies: (1) the signed offer or order and its annexes; (2) these Terms; (3) the product and services catalogue in the version recorded on the order; (4) any other document referred to. The Data Processing Terms prevail on the processing they cover, as stated in clause 15.
The French version of these Terms is the authoritative version. Versions in other languages are provided for convenience; in the event of a discrepancy, the French version prevails.
This version is preserved unchanged. If a newer version is published, the version you accepted when you ordered remains the one that governs your order, and it stays available here.
